Cross-Border Merger of the Company
The Company ESM EFFERVESCENT SODAS MANAGEMENT LIMITED, a private limited liability company duly incorporated and validly existing under the laws of Cyprus, is the sole shareholder of THREE CENTS HELLAS SINGLE MEMBER S.A., a private limited liability company (société anonyme) duly incorporated and validly existing under the laws of Greece, having its registered office at Ploutarchou and Vasilissis Sofias, 2, 10676, Athens, Greece, registered with the GEMI under number 156630501000 (the Absorbing Company).
The Company intends to proceed with a restructuring by means of a cross-border merger by which the Absorbing Company will absorb the Company (the Cross-Border Merger).
The draft Common Terms of the Cross-Border Merger (the Cross-Border Merger Plan) and other relevant documents of the Cross-Border Merger are hereby published in accordance with section 20I ΙΓ (2) of the Cyprus Companies Law, Cap. 113.
The General Meeting of the Company that will examine and approve the Common terms of the Cross-Border Merger and other relevant documents of the cross-border merger has been set for the 26th of September 2024 at 10:00 the Company’s registered office at 66, Kyriacou Matsi, Egkomi, 2409, Nicosia, Cyprus.
